TERMS OF SERVICE

These Terms of Service ("Terms") set out the agreement between IEC HOLDING L.L.C-FZ, operating as IEC Games AE ("IEC," "we," "us," or "our"), and any business partner, vendor, supplier, developer, or user ("you," "Partner") who works with us or uses our services. By signing these Terms electronically or in writing, or by otherwise engaging with our services, you accept and agree to be bound by them.

We may revise these Terms from time to time. Any changes take effect once we post the updated version or notify you in writing. Your continued cooperation after such notice means you accept the revised Terms. If you do not agree with any part of these Terms, you should not use our services.

1. Cooperation

IEC develops, publishes, and owns mobile applications distributed across various app stores and platforms. Within this relationship, IEC and the Partner may collaborate on activities that include, without limitation:

Sharing or providing source code and related materials needed to operate the products;
Managing the day-to-day operation and publication of the products;
Running promotional and user-acquisition activities; and
Optimising monetisation and advertising performance.

Any products supplied by the Partner and transferred to IEC for release are considered owned by IEC throughout the effective period of this agreement, unless the parties agree otherwise in writing.

2. Obligations

2.1 IEC's Responsibilities

IEC will:

Provide the Partner with reasonable access to the relevant products;
Grant access to the management or dashboard system used to operate the products; and
Make data and performance analytics reports available to the Partner.

2.2 Partner's Responsibilities

The Partner will:

Supply the source code and any materials required to publish the products on IEC's distribution channels;
Permit IEC to publish and distribute those products across its channels;
Keep all account credentials and access details confidential; and
Notify IEC without delay of any suspected security breach or unauthorised use of an account.

3. Ownership and Intellectual Property Rights

The Partner retains ownership of the intellectual property rights in the products it creates and supplies, except where those rights are transferred to IEC under Section 1. IEC retains all rights to its own products, platforms, and systems, as well as to all user data collected through the operation of the products.

4. Payments, Taxes, and Expenses

4.1 Basis for Payment

Revenue figures recorded and reviewed through IEC's platform serve as the official basis for any payments due under this agreement.

4.2 Settlement and Adjustments

Revenue is confirmed on a monthly basis. IEC may withhold payment where a violation of these Terms has occurred, adjust reported figures to correct for fraudulent or invalid activity, and deduct any resulting losses from future payments. Each party is responsible for the taxes and expenses applicable to it under the laws that govern it.

5. Term and Termination

This agreement takes effect upon signing and remains in force indefinitely unless terminated. Either party may terminate the agreement by giving at least three (3) days' prior written notice to the other party. Termination does not affect any rights, obligations, or payments that accrued before the termination date.
